1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Devlayers Technology Pvt Ltd, doing business as Snapmate ("Company", "we", "us", or "our").

By accessing or using the Snapmate platform, website, or mobile application, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the platform. You must be at least 18 years of age to register and use our services.

2. Nature of Services

Snapmate is an online B2B and B2C marketplace that facilitates connections between clients seeking premium lifestyle management assistance and independent, background-verified professionals ("Partners").

• Strictly Professional: All services offered on the platform (including but not limited to event assistance, local navigation, and senior care) are strictly professional and non-romantic in nature.
• Independent Contractors: Partners operating on Snapmate are independent contractors. Snapmate acts solely as a technological facilitator and escrow agent, not as an employer of the Partners.
• Non-Medical: While we offer "Medical Attendant" and "Senior Care" services, Partners are NOT licensed medical professionals. They provide logistical and moral support, not medical advice or clinical care.

Users and Partners agree to treat each other with utmost respect and professionalism. You agree not to:

• Use the platform for any unauthorized or illegal purpose.
• Harass, intimidate, or threaten any other user or Partner.
• Attempt to bypass the platform's payment gateway to pay Partners directly (Off-platform transactions).
• Provide false information during the KYC verification process.

4. Payments, Escrow & Fees

To ensure financial security for both clients and Partners, Snapmate utilizes an Escrow payment system powered by RBI-compliant Payment Gateways.

• Client Payments: Clients are charged the full booking amount upfront. The funds are held safely in a nodal/escrow account until the service is marked as completed.
• Partner Payouts: Partners receive their earnings (minus the platform facilitation fee, typically 20%) within the stipulated settlement cycle after successful job completion.
• Taxes: All applicable taxes (including GST) will be displayed transparently at checkout. Partners are responsible for their own income tax compliance.

5. Cancellations & Refunds

We understand that plans change. Our cancellation policy is designed to be fair to both clients and Partners.

• Cancellations made 24 hours prior to the scheduled booking are eligible for a 100% refund.
• Cancellations made within 24 hours of the booking may incur a cancellation fee to compensate the Partner for their blocked time.
• If a Partner fails to arrive or cancels at the last minute, the client will receive a full immediate refund.

6. Account Termination

We reserve the right, at our sole discretion, to suspend or terminate your account and deny access to the platform without notice or liability, for any reason, including but not limited to a breach of any representation, warranty, or covenant contained in these Terms.

7. Limitation of Liability

To the fullest extent permitted by law, Devlayers Technology Pvt Ltd, its directors, employees, or agents shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the platform, or the conduct of any users or Partners on the platform. Snapmate conducts background checks, but cannot guarantee the continuous behavior of independent contractors.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
